Foster an increasing awareness and understanding of the critical role Small Business plays in the Australian economy throughout representations to Government, Big Business, the Media and the wider business community. Australia s 2 Million +* SME s have never faced greater challenges. Now more than ever, SME business owners are looking for representative organisations like COSBOA and the AIBB to step up as their champions to promote positive changes to policy while the nation s trillion dollar equity shift in SME ownership occurs as baby boomers transition to retirement. Championing the cause of SME s will propel the AIBB into the spotlight amongst the new generation of SME owners who make up over 96%* of all businesses in Australia and provide the innovation and growth in our economy. If you are a like minded business or organisation and would like to join the AIBB in placing your business and offerings in front of the next generation of SME owners please read on. 6 A MUTUALLY BENEFICIAL PARTNERSHIP We are pleased to present the opportunity for your organisation to partner with the Australian Institute of Business Brokers (AIBB), linking your organisation with Australia s peak industry body in the transfer of SME ownership from one party to another. By partnering and co-branding with the AIBB, you will be anchoring your brand and image firmly in the SME space which is transitioning through a trillion dollar equity transfer to the next generation of SME owners as the baby boomers move into retirement over the next years. With our in-house members survey showing that 88.5% of our members refer their Clients to 3rd Party Providers, there has never been a better time to consider partnering with the AIBB. Many economists predict that gaining acceptance and exposure to the new generation of SME owners ahead of competitors will be critical to the leadership position and growth of B2B businesses over the next two decades. As a not for profit member based organisation, staffed by volunteers, the AIBB is committed to development and enhancement of its Educational Programs, Professional Practice Standards and Industry Service Offerings to support and nurture the business transfer industry. With existing sales in excess of AUS $2 Billion* per year by AIBB s 320+ members, the Institute is looking to leverage its excellent reputation and partner with progressive organisations to share the limelight with innovation and excellence in professional service delivery across the country. *Calculated from members survey results 2012/2013 calendar years.

8 ABOUT THE AIBB The Australian Institute of Business Brokers Ltd (AIBB ) is the peak industry body formed in 1989 as an Incorporated Association in New South Wales to represent and provide support for professional Business Brokers involved in facilitating the Purchase and Sale of SME s. Since that time AIBB Membership has spread nationally and the Institute merged in 2011 with the WA Business Brokers Association to provide a truly national platform incorporating individual State Chapters. In 2012 the AIBB launched its ground breaking Certified Practicing Business Brokers (CPBB ) and Registered Business Valuer (RBV ) accreditation training program s and in 2014 transitioned into a Public Company Limited By Guarantee. Integral to our growth has been the creation of a state of the art Business For Sale website (www. aibbsales.com.au) and Australia s largest reference database of completed private business sales (www. bizstats.com.au). You may be interested to know that AIBB Members facilitated over 2,000* Business Sales Contracts per year and collectively interviewed over 90,000* Buyers in face to face meetings and collectively interviewed over 82,000* Sellers in face to face meetings during That s almost 175,000 face to face contacts nationally with potential targeted customers per year. Over 88.5%* of our Members refer these contacts to 3rd party providers. 10 EDUCATION & TRAINING The AIBB is the premier peak body offering training and development program s to its members. Discussions are underway with a number of Universities around Australia to provide academic accreditation for undergraduate and post-graduate levels. Our objective is to offer a viable alternative for students undertaking business studies to enter the Business Broking industry as a career path. Certified Practicing Business Broker (CPBB ) The CPBB course is an accreditation course for licensed business broker to further their education and obtain AIBB accreditation. CPBB accreditation is fast becoming known as the gold standard qualification required to operating as a Business Broker in Australia. Every AIBB member who is a practising Business Broker is expected to complete the course, not only to ensure the Member is properly qualified in all aspects of business brooking, but to uphold the high regard that all AIBB members have as being part of Australia s peak industry body. As a CPBB graduate, members be expected to undergo annual Continuing Professional Development (CPD) training and testing to ensure they are up-to-date with local legislation, industry issues and trends. All CPBB graduates are entitled to use the post nominals CPBB. As of late 2013 the CPBB course modules are being offered online to ensure that each member can study and prepare for assessment in their own time. Written examination and a pass mark exceeding 75% is required for graduation. Registered Business Valuer (RBV ) The Registered Business Valuers (RBV) Chapter, a specialist chapter within the AIBB, exists to enable members to develop their knowledge, skills and capabilities in the Valuation of businesses and business assets of small to medium enterprises. The AIBB Registered Business Valuers chapter has developed the only course designed for valuing Small to Medium Enterprises (SME) in Australia, to achieve realistic valuations for: The sale of businesses for both vendors and purchasers; Banks and financial institutions to finance acquisitions; Disputes in the dissolution of partnerships and marriages; Calculating stamp duties and capital gains liabilities; Compulsory acquisition by Government Authorities and expert witnesses in legal disputes. On successful completion of the RBV course assessment, participating members are included on the official AIBB register of Australian Business Valuers. RBV graduates are entitled to use the post nominals RBV. Graduate RBV members are encouraged to participate in the chapter via committee meetings and networking events to ensure they are kept abreast of industry issues and trends. Certified Middle Market Intermediary (CMMI ) The Middle Market Chapter of the AIBB is the Premiere Organisation serving the Educational and Transactional Support needs of Middle Market and M&A professionals in Australia and New Zealand. The Chapter was formed in 2012 to connect Senior Business Intermediaries, CPAs, Lawyers, Merchant Bankers and Financiers who represent Corporate and Institutional Sellers and Buyers of Private and Publicly Unlisted companies whose businesses ranging broadly from AUS$5 million to AUS$200 million in transaction value. 12 MARKETING OPPORTUNITY BUSINESS BROKING AROUND THE WORLD Business Broking is well established as a professional specialty for Intermediaries in many countries around the world. In 1991 the IBBA formed M&A Source, as specialist chapter dealing with Middle Market transactions (from US$5m to $200m) counting among its membership CPA s, Attorneys, Merchant Bankers and Corporate Intermediaries. 14 CHANGING MARKET TRENDS IN AUSTRALIA According to the Superannuation Industry, Australia currently has up to 5.5 million baby boomers nearing retirement. Many of these baby boomers own the 2. 4 million Small Businesses in Australia which employ an additional 5 million workers. The generational change and subsequent equity transfer over the next years in the SME marketplace is going to be profound. Representing more than an estimated trillion dollars in equity ownership, this unprecedented generational transfer will shape many of the small to medium enterprises that will pass to new owners in the coming decade. Through our membership base we have our finger on the pulse of what is happening in the Australian marketplace. From our perspective the next few years can be characterised by the following key motivators; In the past, potential retirees may have sold or passed on their businesses to younger family members. Today, with longer life expectancies, higher healthcare costs and the active lifestyle expectations of retirees, the new generation of potential family successors may not have accumulated sufficient equity to support borrowings to purchase the business, in an international fiscal environment of risk aversion, that will satisfy the financier and the needs of the retiring party necessitating a sale to unrelated parties. Stepping forward to provide the solution will be the professional Business Broker whose skills, experience and training has equipped them to offer a viable alternative. Marketing the AIBB s educational pathways, the maintenance of high technical and ethical standards, members practical business acumen and experience with the whole of industry support that the AIBB provides, will catapult AIBB professional Business Brokers as the go to professionals in this market, hungry for solutions during this decade. Because of this unique environment, professional Business Brokers and particularly AIBB Accredited Business Brokers, will become indispensable advisors to the boomers looking for a way to retire and enjoy the fruits of their labours. With over 88.5% of AIBB Business Brokers reporting that they referred their clients on to Third Party suppliers in a recent survey, it suggests that a partnership with the AIBB will be mutually beneficial.

20 WHAT BUYERS & SELLERS SAY ABOUT AIBB MEMBERS... I am writing to thank you for all your efforts over the past months in negotiating and concluding the sale of my practice. Your approach has suited my attitude to the sale perfectly. I would not hesitate to recommend your services in the future to other practitioners interested in selling their practice. Sale of Legal Practice (AIBB Ref:165-PF1) I have recently sold my business. (Name Deleted), Business Broker from (Name Deleted) was responsible for the sale. (Name Deleted) was involved and facilitated the process, from the moment he introduced the buyer to me. He made sure we ticked all the boxes along the way and ensured there was good communication between all parties. Extra meetings were arranged to discuss questions that came up from the buyer. It was easy to follow the process from beginning to end, knowing what we had to do and when. The confidence with which he steered us through the process is proof of many years experience. Sale of Furniture Removalist Business (AIBB Ref: 165-GD1) We decided to engage (Name Deleted) of (Name Deleted) Business Sales as he was recommended as someone who is professional, thinks outside the box & who has built a career in senior management rolls within some of Australias leading construction groups...we are very grateful for the tireless hours & the weekends that (Name Deleted) Business Sales spent investing time into our sale. It has ensured us a better than expected retirement for us after devoting our lives to our business. We cannot thank him enough. Sale of Building Materials Supplier (AIBB Ref: 165-CW1) We have used the services of (Name Deleted) as a Business Broker on several separate occasions. On each of these occasions she has acted with a high level of professionalism. (Name Deleted) level headed approach to Business Brokerage and her in depth knowledge of her specialty industry is truly remarkable. She is able to nurture the deal through all the processes to settlement. We would refer her to any prospective client without hesitation. Sale of Mining Engineering Company (AIBB 165-GA1) The Information Memorandum was very detailed, your availability and willingness to seek answers to further questions we had was much appreciated and we have been especially grateful for the way you have gone the extra mile in helping us through some of the negotiating processes with the seller. As you are aware the final Share Purchase Agreement proved to be a complex document and your assistance in helping us work through the requirements with the sellers helped make the process smooth and amiable for both parties. Should any future business opportunities eventuate please keep us in mind. Purchase of Industrial Manufacturing Business (AIBB Ref: 165-PN1) We would like to express our gratitude to you for the professional manner in which you conducted our recent purchase of (Name Deleted). During our months of contemplation and investigation, we met many business brokers...it was reassuring on meeting you, to find that you understood our needs and the type of business for which we were searching. You were always available to meet with us, explain details or find out relevant information for us. We appreciated your expertise, knowledge and professionalism as well as your professional approach. Purchase of Plumbing Maintenance Business (AIBB Ref: 165-HWJ1) I just wanted to take some time out to personally thank you for your personal guidance in helping to sell our business. Your integrity and patient approach assisted us in getting us a great price that helped us achieve our retirement plans. As discussed previously your persistence in locating the overseas buyer and then persistently communicating with them was certainly instrumental in getting this deal over the line. Sale of Security Services Company (AIBB Ref:165-RB1) I was under pressure to sell by a certain date, because I had to be in Western Australia to fulfil a contract I had agreed to months ago. I was getting a bit anxious as time went by, but (Name Deleted) assured me he would find a buyer in time and he did. Everything fell into place perfectly. The business sold and settled and I am on my way to WA. I could not be happier. Sale of Tree Services Business (AIBB Ref: 165-DB1) As a result of (Name Deleted) professionalism, diligence and commitment to our interests, the sale of our business was successfully negotiated between him and the purchasers. In addition to his obvious experience in his profession, I found (Name Deleted) very easy to work with because of his affable nature, commitment to our interests, his maturity of thought and his very impressive knowledge of the nuances and technical implications of negotiating and closing the sale of our relatively unique business. Sale of Registered Training Organisation (AIBB Ref: 165-PN3)
