1 ECC Board of Trustees Executive Summary Date: March 26, 2015 Subcommittee: Budget, Finance & Contracts Agenda Item: Implementation of Electronic Applicant Tracking Software for Human Resources Newbury Taleo Group, Inc. This item is for: For Board's Approval Backup Documentation: Attached to this document Background Information: This is a companion item to the Oracle Taleo Applicant Tracking Software item. Human Resources has a substantial need to automate and modernize the way that it recruits, provides onboarding and sourcing for highly qualified candidates. In light of these challenges, a Request for Proposal was advertised and issued, requesting responses for electronic applicant tracking software. After evaluation by a committee of the functionality of the different software and needs of the Human Resources department, the successful vendor Oracle Taleo, a cloud hosted solution, was selected. Newbury Taleo Group, Inc. was proposed and accepted to be the implementation consultant to implement the software for ECC. Reasons for Recommendation: Human Resources is looking for an Applicant Tracking system to handle recruitment, onboarding, and social sourcing. Taleo provides the ability to generate reports and dashboards which are used for tracking and establishing metrics needed for Human Resources to remain in compliance. Taleo will take Human Resources to the next level with modern software which will enable Human Resources to eliminate many of the inefficient current manual processes and duplication of data entry due to lack of integration which also generate massive amounts of paperwork. Fiscal Implications: The fees for implementation of the Oracle Taleo software by Newbury Taleo Group Inc. is a one time cost of $24, for recruit, onboarding and social sourcing implementation. Additional costs for consulting services to build the integration of touch points to ECC s Colleague ERP system total $13,200. The total one time implementation cost is therefore $37, Maintenance fees for hosting and maintaining the integration will cost $12, annually. Accordingly, the total cost for the consulting and implementation in year one is $49, with annual costs thereafter of $12, for maintenance. Consequences of Negative Action: Human Resources will continue generate excessive amounts of paper, engage in wasteful and inefficient hiring and recruiting processes and work within the confines of a system that is subpar and does not meet the needs of Erie Community College. In addition, the ability to track and measure the efficiency of

2 recruiting and advertising, including measuring the demographics of applicant pools to effectively target underrepresented and minority populations will continue to be a substantial challenge in a manual system. 3 CONSULTING SERVICES AGREEMENT THIS CONSULTING SERVICES AGREEMENT (the "Agreement") is made as of March 10, 2015 (the "Signing Date"), by and between NEWBURY TALEO GROUP, INC., of P.O. Box 416 Byfield, MA ("Newbury"), and Erie Community College of 121 Ellicott Street, Buffalo, NY ( Customer ). 1. Services Newbury shall provide to Customer the services described in the Statement of Work (the "SOW") attached hereto (the "Services"), in accordance with the schedule also set forth in the SOW. In the performance of the Services, Newbury shall use reasonable efforts to minimize the disruption of Customer's business operations at the site where the Services are performed; the foregoing shall not require Newbury to incur any additional cost or expense in connection with such efforts. 2. Payment (a) Customer shall pay Newbury for the Services in accordance with the compensation rates, out-of-pocket expenses and payment terms set forth in the Statement of Work (SOW) attached hereto as Exhibit A. 3. Representations and Warranties Subject to Section 9, Newbury shall provide the Services in accordance with the schedule and specifications set forth in the SOW attached hereto as Exhibit A. Newbury represents and warrants to Customer that to the actual knowledge of Newbury, its performance of the Services will not violate or infringe upon any intellectual property or proprietary rights of any third party; provided, however, that the foregoing representation and warranty does not apply with respect to any actions taken at the direction of Customer or to the use or implementation of any specifications or other Items provided by Customer. NEWBURY PROVIDES THE SERVICES WITHOUT ANY OTHER WARRANTY OR CONDITION, EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ALL OF WHICH ARE SPECIFICALLY DISCLAIMED. Customer represents and warrants that (a) all Items provided by Customer to Newbury in connection with the Services are owned by Customer and Newbury's use thereof will not violate or infringe upon the intellectual property or proprietary rights of any third party or violate any law, rule or regulation, (b) Newbury providing to Customer the Services will not violate any applicable law, rule or regulation or the rights of any third party, and (c) this Agreement and the performance of the Services by Newbury will not breach or violate any contracts, agreements or other obligations between Customer and a third party. Indemnification and Liability Each party shall indemnify, defend and hold the other party and such party's officers, directors, employees, agents and affiliated entities, harmless from and against any and all claims, suits, liabilities and reasonable expenses related to or arising from its breach of this Agreement, negligence or willful misconduct. NOTWITHSTANDING THE FOREGOING OR ANY OTHER PROVISION OF THIS AGREEMENT, NEITHER PARTY SHALL IN ANY EVENT BE LIABLE TO THE OTHER PARTY OR ANY THIRD PARTY FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR ANY LOST PROFITS BASED UPON BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT TORT, OR ANY OTHER LEGAL THEORY, AND IN NO EVENT SHALL EITHER PARTY'S LIABILITY TO THE OTHER PARTY OR ANY THIRD PARTY EXCEED (IN THE AGGREGATE) THE LESSOR OF ONE MILLION DOLLARS ($1,000,000) OR THE AMOUNT PAID BY CUSTOMER TO NEWBURY HEREUNDER FOR SERVICES RENDERED. 6. Venue: Choice of Law Any action for injunctive relief hereunder shall be brought in the federal or state courts in Erie County, New York. This Agreement shall be governed by and construed in accordance with the internal laws of the State of New York. 7. Delays Any delay or inability of Newbury in complying with the terms hereof arising from unforeseeable causes or events beyond Newbury's control, including but not restricted to, Customer's failure to supply necessary information or assistance, acts of God, acts of public enemy, acts of the government in either sovereign or contractual capacity, fires, floods, labor disputes, strikes or acts of a third party, shall excuse any delay in the performance by Newbury. In such event, the date of performance shall be extended for a reasonable period of time following the resolution of such delay. 8. Confidentiality Each party agrees that during and after the term of this Agreement it will keep confidential and not directly or indirectly divulge to anyone nor use or otherwise appropriate for its own benefit or for the benefit of any other person or entity, any Items (as defined below) of or relating to the other ("Confidential Data"), unless such disclosure is compelled involuntarily by legal process and the other party has been given notice and a reasonable opportunity to avoid or limit such disclosure. This obligation shall not apply to any Item shown by the receiving party to be in the public domain (not as a result of disclosure by the receiving party or a violation by any other party of a duty of confidentiality), known by the receiving party prior to disclosure and not otherwise subject to a duty of confidentiality, or properly provided to the receiving party by a third party without any duty of confidentiality. For purposes of this Agreement, the term "Items" shall include information, ideas, inventions, developments, intellectual property, proprietary rights, data, studies, forecasts, compilations, computer programs, paper, Customer and customer lists, reports, interpretations, records, statements, documents and notes (whether oral, written or electronic) (collectively, "Items"). 5 9. Solicitation of Employees During the term of an SOW and for one (1) year after termination of that SOW, neither party will employ or solicit for hire as an employee, consultant or otherwise any of the other party's professional personnel who have had direct involvement with the Services provided in that SOW, without the other party's express written consent, provided, however, that neither party will be precluded from hiring any employee of the other party who responds to any public notice or advertisement of an employment opportunity or who terminated his/her employment with the other party at least six months previously, provided that the hiring party did not solicit the termination. 10. Ownership and Proprietary Rights (a) Ownership of Pre-existing Materials. Customer acknowledges and agrees that Newbury is the sole and exclusive owner of all rights, including but not limited to all patent rights, copyrights, trade secrets, trademarks, and other proprietary rights in the systems, programs, specifications, user documentation, and other materials used by Newbury in the course of its provision of services hereunder which were in existence prior to the execution of this Agreement (collectively Newbury s Materials ). Customer also acknowledges and agrees that in entering into this Agreement, Customer acquires no rights in Newbury s Materials. Customer shall not copy, transfer, sell, distribute, assign, display, or otherwise make Newbury s Materials available to third parties. Customer agrees to secure and protect each module, software product, piece of documentation, and every other portion of Newbury s Materials so as to protect all of Newbury s rights therein. (b) Ownership of Tangible Work Product. The tangible property and work products created by Newbury pursuant to this Agreement ( Work Product ) shall mutually belong to Customer and Newbury. (c) Ownership of Data Processing Know-how. Any ideas, concepts, know-how, or other techniques relating to data processing developed by Newbury or by Newbury and Customer during the course of this Agreement (collectively Know-how ) shall belong exclusively to Newbury, and Newbury shall be free to further use such know-how in providing services to Customer or others; provided, however, that to the extent such Know-how is contained or reflected in the Work Product, Newbury hereby grants Customer a fully paid up, perpetual license to use such Know-how only for its internal business, but not for further distribution or disclosure to others. 11. Insurance At all times during the term of this Agreement, Newbury shall maintain Commercial General Liability insurance in a minimum of One Million Dollars ($1,000,000) combined single limit, as well as Workers Compensation insurance as prescribed by statutory limits. Executory Clause This agreement shall be deemed executory only to the extent of the monies appropriated and available for the purpose of the Agreement and no liability on account thereof shall be incurred by Erie Community College or the County of Erie beyond the amount of such monies. Oracle will provide to you up to thirty (30) hours of remote assistance regarding the configuration and testing of your Oracle Taleo Social Sourcing program (the Program ) in your Oracle services environment as set forth below ( Services ): At a time mutually agreed to by the project managers, Oracle will participate in an introductory telephone conference call ( introductory call ), not to exceed two (2) hours, to discuss the Services and the Configuration Specifications document. 10 On the introductory call, the Oracle project manager will provide to you a copy of the Configuration Specifications document to be completed by you and returned to Oracle s project manager at a time mutually agreed to by the project managers. Commencing after the introductory call, and at a time mutually agreed to by the project managers, Oracle will participate in weekly status calls, each up to sixty (60) minutes during the Professional Services Period (defined below), to discuss the Services. Upon receipt of your fully completed Configuration Specifications document, Oracle s project manager will contact your project manager to review and to finalize a mutually agreed upon Configuration Specifications document ( Final Configuration Specifications Document ). Provide to you the Services listed below ( Social Sourcing Services ) commencing after receipt by Oracle of the Final Configuration Specifications Document and during the Professional Services Period (as defined below): Oracle will perform the following services to add your logos and company colors ( Branding Services ) to the Program: o Upload one (1) logo with specific dimensions and resolution for display on a desktop browser; o Upload two (2) logos with specific dimensions and resolution for display on a mobile site (one (1) low resolution and one (1) high resolution for retina display); o Upload one (1) logo with specific dimensions and resolution for display on Facebook; and o Configure color options for job titles, buttons, and hyperlinks included with the Program. Oracle will configure the Program in accordance with the Final Configuration Specifications document. Oracle will create and schedule a daily recurring job synchronization feed that loads your open requisitions from your Taleo Business Edition Recruiting program ( TBE ) in your Oracle services environment to the Program. Oracle will create and schedule a recurring feed to import the Employee Data, as defined below, in TBE to the Program in accordance with the Final Configuration Specifications Document ( Import Services ). Employee data consists of the following data fields ( Employee Data ): Exhibit A - Page 3

11 UniqueID; FirstName; LastName; ; Job Function/Category (an organizational hierarchy value that best maps to the job categories on your career site); and Location (City, State). Oracle will validate the configurations, job synchronization feed, and import feed (as described in the bullets above) in accordance with the Final Configuration Specifications document. Timeframe Work is expected to be completed between May 4, 2015 and September 7, This statement of work must be delivered within a maximum period of 12 months. In the event, that the services are not delivered within 12 months, for reasons out of Newbury s control, customer agrees to pay Newbury at a rate of $200 per hour for time worked on project to date. In this case, a new statement of work will be provided by Newbury for project completion. Work Location All work is expected to be completed remotely by the Newbury consultant. Warranties All initial work is billed as a packaged solution. If Erie Community College is not satisfied with work completed, the issue will be discussed and resolved to the satisfaction of both parties in accordance with the Consulting Services Agreement. 13 Customer shall be billed at the fixed rate set forth below and consistent with Newbury s Labor and Expense Billing Policy, attached to this contract as Exhibit B and made a part hereof. Newbury will perform this work based upon the selected package(s). Actual labor and expenses incurred will be billed in accordance with the attached Labor and Expense Billing Policy in Exhibit B. Travel expense includes airfare, lodging, transportation and per diem meal expense. Every effort is made to control travel expense by arranging long term lodging agreements and advanced airfare coach/economy bookings. Customer Obligations and Project Assumptions Customer acknowledges that timely provision of and access to office accommodations, facilities, equipment, assistance, cooperation, complete and accurate information and data from Customer officers, agents, and employees, and suitably configured computer products (collectively, cooperation ) are essential to the performance of any services as set forth in this exhibit. Newbury will not be responsible for any deficiency in performing services, if such deficiency results from Customer failure to provide full cooperation. A. Customer Obligations 1. Provide Newbury with full access to the relevant functional, technical and business resources with adequate skills and knowledge to support the performance of services. 2. Designate a Project Manager to expedite project decisions, provide access to key personnel as required, provide visibility to the Customer s project team concerning the project s progress and issues, and facilitate management commitment to the implementation; 3. Provide VPN access for Newbury resources who need to work remotely 4. Coordination of Single Sign-On setup with Oracle 5. Coordination of partner integration setup with Oracle 6. Coordination of Career Website Branding with Oracle 7. Data Extraction, Gathering, Cleansing and Mapping of all data to support conversion not specifically listed in this statement of work. 8. Developing any additional interfaces, reports, extracts or conversion not specifically listed in this statement of work. 9. Coordination with any internal or third party systems for integration other than those listed in this statement of work. 10. Developing Customer specific test scripts and scenarios. 14 B. Project Assumptions 1) Newbury and Customer will work jointly to manage the project timelines. Customer will make Newbury aware of any resource constraints that would impact project timelines as soon as possible. Newbury and customer will jointly determine course of action to be taken. 2) Newbury may initiate change control for monetary amounts in the following situations where Newbury resources are required to provide additional hours: i. Late delivery of customer deliverables that result in the delay of the completion of any major milestone or phase. ii. Customer project staffing levels which fail to meet the defined utilization resulting in delay in the completion of any milestone or phase. iii. Technical issues which are outside of the control of Newbury, which cause a delay in the completion of any milestone or phase. iv. Delays in required decisions by customer that result in a delay in the completion of any milestone or phase. 3) Newbury will not be held responsible for delays due to unavailability of the servers, networks, or other hardware elements supplied by the Customer. 4) Standard Reports will be utilized unless specifically noted in this statement of work. Custom reports can be provided with a change order. 5) All work will be performed in English only unless specifically noted in this statement of work. 6) All work not specifically listed in this statement of work is considered Out of Scope and will be addressed with a change order. 15 Payment Terms The invoice for the above listed deliverables will be sent to Erie Community College upon signing of this document. Payment of this, or any other invoice sent by Newbury shall be due within 30 days from the date of said invoice. The payment terms are based upon the actual invoice date (and not the day the invoice is delivered to Customer). Expenses (if any) will be billed bi-weekly as incurred. 16 Exhibit B Newbury Labor Billing Policy The following are the standards set by Newbury for consulting labor: Work Week: The consultant is expected to be available to work Monday through Friday. Hours Worked: For ad hoc consulting engagements, in which a consultant brought in for a one or two day assignment, a minimum of eight (8) hours per day will be charged unless prior arrangements have been made for part time work. Lunch Time: Customers will not be billed for consultant s lunch time, unless work or business is conducted during that time. Newbury Travel and Expense Billing Policy The following are the standards set by Newbury for consultant travel and expenses: Actual Costs: All travel and living expenses are billed for the actual costs incurred. Receipts are retained for all expenses. Airfare: Airfare is the cost of one round trip coach fare according to the following rules: If travel originates and ends at the same location, the Customer pays the total fare. If travel is between Customer sites, each Customer pays one half of the fare between the two sites. Reservations and ticketing are made as early as possible, using discounted, advance bookings, in SOW to obtain a reasonable fare. The Customer assumes the risk of the cost of any penalties due to cancellations as a result of Customer s changes in consultants schedules. Newbury assumes the cost for any penalties arising from Newbury requested schedule changes. Exhibit B - Page 1

17 Lodging: Lodging is acquired near the Customer s offices at a price agreeable to the Customer and consistent with rates for the area. Consultants use the Customer s corporate rate at designated hotels whenever possible. Per Diem: Meal expenses are calculated on a per diem basis consistent with the then current CONUS and International CONUS tables published by the Department of Defense, which includes all meals, tips, and incidental expenses. The per diem rate is prorated for partial days of travel away from home according to the following IRS guidelines: 12:01am - 8:00am 8:01am - 4:00pm 4:01pm - 12:00am Car Rental: Car rental is for a four-door mid-sized car. whenever possible. No car rental needed. 17% for Breakfast 33% for Lunch 50% for Dinner Consultants attempt to share transportation Taxis/Trains: Customer is billed for the cost of taxi, bus, shuttle, or train fare to the Customer s offices. Consultants attempt to use the most cost and time effective means for commuting to the Customer s site. Parking/Tolls: Customer is billed for the cost of parking and tolls associated with transportation to the Customer s site, as well as airport parking and mileage to and from the airport. Mileage: Mileage is billed at the current published IRS mileage rate. No mileage needed. IRS Expense Liability According to IRS rules, consultants that remain at a Customer location for more than twelve months may be required to claim reimbursed expenses as taxable income. In the event that Newbury employees are required to show reimbursed expenses as taxable income, Newbury will invoice the Customer for an amount equal to the tax liability incurred. 18 Exhibit A Erie Community College Statement of Work # 2 This Statement of Work (SOW) shall be read as part of the agreement between Newbury Consulting Group, Inc. (Newbury) and Erie Community College (Client) dated March 10, Scope of Work Taleo TBE Integration Newbury will provide the customer with consulting services around the development of system integration between their HRIS and Taleo Business Edition. The following five integration touch points are included in scope: New Hire o Candidates that are hired in Taleo will be transferred to a flat file to be delivered to an FTP server Employee import o Employee in the HRIS that had their record updated since the last time the extraction was executed will be transferred to Taleo via a CSV file placed by the customer on the FTP server. Department o Departments in the HRIS that had their record updated since the last time the extraction was executed will be transferred to Taleo via a CSV file placed by the customer on the FTP server Users o Users that had their record updated since the last time the extraction was executed will be transferred to Taleo via a CSV file placed by the customer on the FTP server The integration between systems will be done using flat file exchanges. Below is a list of the tasks associated with this project along with the role responsible for delivery of the task. These will be the deliverables associated with the engagement that will be managed by Newbury Consulting Group. Exhibit A - Page 1
